Terms of Service

Raven is a communication platform that enables Organizations to send and manage communications with their intended recipients.

Depending on the services enabled for an account, Raven may support SMS notifications, reminders, announcements, transactional communications, educational communications, customer communications, payment reminders, attendance notices, event notifications, and other authorized messages.

Features may be added, changed, improved, or discontinued as Raven develops.

You may be required to create an account to use Raven. You agree to provide accurate and current information when creating and maintaining your account.

You are responsible for maintaining the confidentiality of your login credentials and for activities performed through your account. You must promptly notify Utilitay if you become aware of unauthorized access to your account or another security incident involving Raven.

Utilitay may require reasonable verification of the identity or authority of an account administrator.

Where Raven is used by an Organization, the Organization is responsible for identifying the persons authorized to administer and use its Raven account.

The Organization is responsible for actions taken through accounts that it has authorized. An administrator must not provide Raven access to an unauthorized person or allow another person to impersonate an authorized user.

Raven allows Customers to submit messages and recipient information for delivery through supported communication channels.

The Customer is responsible for the content of its messages, determining the intended recipients, maintaining accurate recipient contact information, obtaining required permissions or consent, honoring applicable opt-out requests, and ensuring its communications comply with applicable law and Raven policies.

Raven does not independently determine whether a particular recipient should receive a Customer's message.

Raven uses the Ponitor API as part of its SMS messaging infrastructure. Accordingly, SMS transmission through Raven depends partly on Ponitor, telecommunications operators, mobile networks, and other third-party communication infrastructure.

Customers using Raven's SMS functionality must comply with the Raven Acceptable Use Policy and applicable messaging-provider requirements. These include clear and verifiable recipient consent, accurate sender identification, appropriate opt-out mechanisms where required, and compliance with applicable telecom, messaging-platform, and communication-network policies.

Utilitay may implement technical or operational restrictions reasonably necessary to maintain Raven's compliance with those requirements.

You must use Raven only for legitimate and authorized purposes. Your use of Raven is subject to the Raven Acceptable Use Policy, which is incorporated into these Terms.

Among other restrictions, Raven must not be used for spam, unsolicited bulk messaging, fraudulent or deceptive activities, phishing, gambling or betting communications, illegal content, harassment, threats, hate speech, or other prohibited activities.

A material violation of the Raven Acceptable Use Policy constitutes a violation of these Terms.

Customers are responsible for obtaining and maintaining any consent required to communicate with recipients through Raven. Where required, consent must be clear and verifiable.

Customers must also respect valid unsubscribe, STOP, opt-out, or withdrawal-of-consent requests. Utilitay may implement automated suppression or other technical controls to prevent messages from being sent to recipients who have validly opted out.

“Customer Content” includes messages, recipient lists, contact information, documents, data, images, templates, and other information submitted to Raven by or on behalf of a Customer.

The Customer retains ownership of its Customer Content. The Customer grants Utilitay a limited right to process, transmit, store, reproduce, and otherwise use Customer Content only as reasonably necessary to operate, secure, support, and provide Raven.

The Customer represents that it has the necessary rights and authority to provide Customer Content to Raven and to instruct Utilitay to process it.

Raven's handling of personal information is described in the Raven Privacy & Cookie Policy.

Where an Organization provides personal information concerning customers, employees, students, parents, guardians, or other individuals, that Organization is responsible for ensuring that it has a lawful basis or other required authorization to collect and use that information.

Utilitay will process information provided through Raven as reasonably necessary to provide and operate the service and as described in its applicable privacy documentation.

Raven relies on third-party providers to deliver certain functionality. These providers may include Ponitor, telecommunications operators, hosting providers, infrastructure providers, messaging platforms, and other technology providers.

Use of certain Raven functionality may therefore be subject to technical restrictions or requirements imposed by those providers. Utilitay may replace, add, or remove service providers where reasonably necessary to operate Raven.

Utilitay does not guarantee that every message submitted through Raven will be successfully delivered, delivered immediately, or read by its intended recipient.

Delivery may be affected by invalid or inactive telephone numbers, recipient devices, insufficient network coverage, telecommunications outages, Ponitor API availability, carrier filtering, provider restrictions, network congestion, or circumstances outside Utilitay's reasonable control.

Raven may provide delivery-status information where such information is made available by the underlying provider.

Certain Raven services may require payment. Applicable subscription fees, messaging charges, setup fees, or other charges will be disclosed to the Customer through the applicable subscription plan, quotation, invoice, order form, or other pricing information.

Customers agree to pay applicable charges when due. Utilitay may suspend paid services where undisputed amounts remain overdue after reasonable notice.

Utilitay may change future pricing to reflect changes in Raven's services, operating costs, messaging-provider charges, or other commercial considerations. Where appropriate, Customers will receive reasonable notice before material pricing changes take effect.

Raven and its associated software, technology, workflows, interfaces, designs, trademarks, branding, documentation, and other intellectual property are owned by or licensed to Utilitay.

Subject to these Terms, Utilitay grants you a limited, revocable, non-exclusive, non-transferable right to access and use Raven for your legitimate internal or organizational purposes.

These Terms do not transfer ownership of Raven or Utilitay's intellectual property to you. You may not copy, reverse engineer, reproduce, resell, sublicense, modify, or commercially exploit Raven except where expressly authorized by Utilitay or permitted by applicable law.

Utilitay may temporarily restrict or suspend access to Raven where reasonably necessary to investigate a suspected violation, address a security threat, prevent fraud or unlawful activity, protect Raven or other users, address non-payment, comply with applicable law, comply with Ponitor or another essential provider's requirements, or prevent disruption to telecommunications or messaging infrastructure.

Where reasonably practicable, Utilitay will notify the affected Customer and provide an opportunity to correct the issue.

You may stop using Raven at any time, subject to any outstanding payment obligations or separately agreed subscription commitments.

Utilitay may terminate or restrict access where a User materially or repeatedly violates these Terms or the Raven Acceptable Use Policy. Utilitay may take immediate action where necessary because of fraud, unlawful conduct, serious security threats, abusive messaging, or conduct that could jeopardize Raven's access to Ponitor, telecommunications networks, or another essential service provider.

Termination does not eliminate payment obligations or other liabilities that arose before termination.

Utilitay will use commercially reasonable efforts to operate and maintain Raven.

However, Raven may occasionally be unavailable because of maintenance, upgrades, security measures, internet or power interruptions, Ponitor or telecom outages, third-party service failures, or circumstances beyond Utilitay's reasonable control.

Utilitay does not guarantee uninterrupted or error-free availability.

Raven is provided on an “as available” basis to the extent permitted by applicable law.

Utilitay does not warrant that Raven will always be uninterrupted, error-free, or capable of successfully delivering every communication. Customers remain responsible for determining whether Raven is appropriate for their particular communication requirements.

To the maximum extent permitted by applicable law, Utilitay will not be liable for indirect, incidental, special, punitive, or consequential damages arising from the use or inability to use Raven.

Utilitay will not be responsible for messaging failures caused by incorrect recipient information, recipient devices, Ponitor, telecommunications operators, internet providers, third-party messaging platforms, or other circumstances outside Utilitay's reasonable control.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Utilitay may update, improve, modify, or discontinue features of Raven from time to time.

We may also make changes where necessary to comply with applicable law, security requirements, or requirements imposed by Ponitor, telecom operators, messaging platforms, or other service providers.

Utilitay may update these Terms from time to time. The revised Terms will display an updated “Last Updated” date.

Where changes materially affect your rights or obligations, Utilitay may provide additional notice and may require you to affirmatively accept the updated Terms before continuing to use Raven.

Continued use after an applicable update may constitute acceptance where permitted by law and appropriately disclosed.

These Terms are governed by the laws of the Republic of Liberia, without regard to conflict-of-law principles.

Before commencing formal proceedings, the parties should attempt in good faith to resolve disputes relating to Raven through direct communication.

Any unresolved dispute may be brought before a court of competent jurisdiction in the Republic of Liberia, subject to applicable law.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect. Failure by Utilitay to immediately enforce a provision does not waive its right to enforce that provision later.

These Terms, together with the Raven Acceptable Use Policy, Privacy & Cookie Policy, and any applicable subscription or service terms agreed with the Customer, constitute the applicable agreement governing use of Raven.
